Due Dilligence

In mergers and acquisitions, this phase of the risk management process is the most critical component of putting a deal together. Due diligence can range from reviewing existing environmental insurance of the company to be acquired, to reviewing technical documents to determine if there is proper characterization of all environmental liabilities.

Quite often due diligence activities to support acquisitions will be ‘fast tracked’ in order for the buyer to make a decision on whether to move forward with negotiations or not. As a consequence, JCH reviews project documents on an expedited schedule when necessary in order to provide a written summary of the project as quickly as possible. Options for managing environmental liabilities are presented, including preparing a submittal which will be taken to the insurance markets for engineering and underwriting consideration.
